Terms & Conditions
Effective Date: December 4, 2024
These Terms and Conditions (“Terms”) govern the relationship between Artemis Intuitive Mentoring, LLC (“Artemis”) and its clients (“Client”) as well as the use of Artemis’s website (“Site”).
Use of the Website
- Purpose: The Site provides information about Artemis and its services.
- Prohibited Activities: Users may not use the Site for unlawful purposes, to transmit malware, or to interfere with its functionality.
Scope of Services
Artemis provides fractional support services as outlined in the agreed Scope of Work.
Initial Commitment and Renewal:
The initial term of engagement is 12 months. After the initial term, the agreement automatically converts to a month-to-month engagement unless terminated as outlined in Section 6.Unused Hours:
Any unused service hours from the Scope of Work expire at the end of each month and do not roll over to subsequent months.
No Legal Advice
Artemis provides fractional support and consulting services and does not offer legal advice or act as legal counsel. Engagements involving legal professionals provided by Artemis do not establish an attorney-client relationship. Clients seeking legal advice must engage independent legal counsel.
Intellectual Property
- All content on the Site and all deliverables provided to clients, including policies, procedures, and other materials (“Documentation”), are the intellectual property of Artemis unless otherwise noted.
- Clients and users of the Site may not reproduce, distribute, modify, or share Artemis’s intellectual property without prior written consent.
User Submissions
Users may submit inquiries through the contact form on the Site. By doing so, users agree to provide accurate and relevant information and refrain from submitting offensive, illegal, or misleading content.
Termination
This agreement may be terminated as follows:
a. By Mutual Consent: Upon written agreement by both parties.
b. For Breach: If either party breaches these Terms or the Scope of Work and fails to cure the breach within 15 days of written notice.
c. After Initial Term: After the first 12 months, either party may terminate with 30 days’ written notice.
d. By Artemis: At any time, Artemis may terminate with written notice.
e. For Cause: If Artemis fails to perform obligations satisfactorily and does not cure deficiencies within 30 days of Client’s written notice.
Early Termination by Client: If Client terminates prior to the 12-month term, Client must fulfill the remaining balance for the initial term and any outstanding fees for Separate Services.
External Links
The Site includes a links to external partners. Artemis is not responsible for the content, privacy practices, or terms of use on external websites. Use of third-party sites is at the user’s own risk.
Confidentiality
All materials and communications exchanged between Client and Artemis are confidential and will not be disclosed to third parties without Client’s consent, except as required by law.
Disclaimer of Warranties and Limitation of Liability

Website Use:
The Site is provided “as is” without warranties of any kind. Artemis does not guarantee uninterrupted or error-free use of the Site and is not liable for any damages arising from its use. -
Services:
Artemis will not be held liable for any claims, damages, or losses arising from the services provided except in cases of gross negligence or willful misconduct.
Indemnification
Client agrees to defend, indemnify, and hold harmless Artemis Intuitive Mentoring, LLC (“Artemis”), its affiliates, employees, contractors, officers, agents, and representatives from and against any and all claims, actions, liabilities, losses, damages, judgments, costs, and expenses, including reasonable attorneys’ fees and court costs, arising from or related to:
Client’s Business Operations:
- Any acts or omissions by Client, its employees, agents, or representatives, including but not limited to claims arising from Client’s failure to comply with applicable laws, regulations, or contractual obligations.
Reliance on Services Provided by Artemis:
- Any claims, damages, or losses incurred as a result of decisions, actions, or omissions taken by Client based on the services, recommendations, or deliverables provided by Artemis.
Third-Party Claims:
- Claims brought by any third party, including but not limited to Client’s customers, employees, contractors, affiliates, or regulatory bodies, in connection with or arising out of:
a. The fractional support services provided by Artemis;
b. Alleged errors, omissions, or breaches in compliance;
c. Client’s misuse, misrepresentation, or misapplication of Artemis’s deliverables or recommendations.
- Claims brought by any third party, including but not limited to Client’s customers, employees, contractors, affiliates, or regulatory bodies, in connection with or arising out of:
Data and Confidentiality Breaches:
- Any breach of confidentiality or misuse of sensitive information provided by Artemis resulting from Client’s negligence, willful misconduct, or failure to maintain appropriate safeguards.
Unforeseen Consequences:
- Any unforeseen or indirect damages caused by the use of services or deliverables provided by Artemis, except in cases of gross negligence or willful misconduct on the part of Artemis.
Legal and Regulatory Actions:
- Any penalties, fines, lawsuits, or regulatory actions against Client arising from non-compliance or improper application of advice, deliverables, or recommendations provided by Artemis.
Non-Solicitation
Client agrees not to directly or indirectly hire, solicit, or induce any Artemis personnel to leave employment with Artemis for a period of 24 months following the termination of this agreement. Breach of this provision will require Client to pay Artemis an amount equal to one year of the employee’s total compensation.
Privacy Policy
Artemis is committed to protecting the privacy of users and clients.

Information Collected:
The Site only collects information voluntarily submitted by users through the contact form, such as name, email address, and inquiry details. -
Use of Information:
Information is used solely to respond to inquiries and provide requested information. No data is sold, rented, or shared with third parties. -
Security:
Appropriate measures are in place to protect user data, but Artemis cannot guarantee absolute security. Users submit information at their own risk. -
Children’s Privacy:
The Site is not intended for use by children under the age of 13, and Artemis does not knowingly collect information from minors.
No Third-Party Beneficiaries
This agreement is exclusively for the benefit of Artemis and Client. It does not create rights for third parties.
Jurisdiction and Venue
This agreement is governed by the laws of the State of Texas, and any disputes will be resolved exclusively in the courts of Kerr County, Texas.
Modifications to Terms
Artemis reserves the right to modify these Terms at any time. Updates will be posted on the Site, and continued use of the Site or services constitutes acceptance of the revised Terms.
